1. Acceptance of Terms
By accessing or using the Barters Local platform ("Barters Local," "we," "us," or "our"), you confirm that you have read, understood, and agree to be legally bound by these Terms and Conditions ("Terms") and our Privacy Policy. If you do not agree to all provisions of these Terms, you must immediately discontinue use of the platform. These Terms constitute a binding legal agreement between you and Barters Local.
2. Eligibility and User Accounts
You must be at least 18 years of age and have the legal capacity to enter into binding agreements to use the platform. By creating an account, you represent and warrant that you meet these requirements. You are responsible for safeguarding your account credentials and for all activity conducted under your account. All information you provide must be accurate, current, and complete. Barters Local reserves the right to suspend or terminate accounts that provide false or misleading information.
3. Platform Role and No Agency
Barters Local is a neutral technology platform that facilitates connections and communications between users for the purpose of arranging barter transactions. Barters Local is not a party to any transaction, does not broker, supervise, or enforce barter agreements, does not inspect, verify, or take possession of items or services, and does not act as an agent, partner, joint venturer, or representative of any user. All transactions are conducted solely between users, and users assume full responsibility for their interactions, agreements, and outcomes.
4. Prohibited Items and Activities
Users may not list, offer, request, or barter any of the following:
- Illegal items or substances, including controlled or prohibited drugs
- Weapons, firearms, or explosives
- Stolen property or items obtained through illegal means
- Counterfeit goods or items that infringe on intellectual property rights
- Adult content, pornographic material, or sexually explicit items
- Hazardous materials or dangerous goods
- Human remains, body parts, or bodily fluids
- Wildlife, endangered species, or products derived from them
- Items that promote hate, violence, or discrimination
- Any items prohibited by local, state, or federal laws
5. User Conduct
Users agree to:
- Provide accurate descriptions of items or services being offered
- Act in good faith when negotiating and completing barter arrangements
- Communicate respectfully with other users
- Refrain from fraudulent, deceptive, abusive, or harassing behavior
- Not use the platform for spamming or unsolicited communications
- Verify their email address to access and use the platform. Email verification is required to activate your account and participate in any barter activity
- Be aware that unverified accounts may be deleted within 15 days of registration. If your account is removed due to non-verification, you will need to sign up again and complete the email verification process to regain access
6. Listing Guidelines
All listings must be truthful and not misleading. Barters Local may remove or modify listings that violate these Terms without notice. By submitting content (including text, images, or other materials), you grant Barters Local a non-exclusive, worldwide, royalty-free, sublicensable license to use, host, display, reproduce, and distribute such content for the purpose of operating, improving, and promoting the platform. You represent that you own or have the necessary rights to all content you post.
7. Reporting and Enforcement
Users may report suspected violations through the platform's reporting tools. Barters Local may investigate reports and take action including warnings, content removal, account suspension, or termination. Barters Local is under no obligation to resolve disputes between users.
8. Account Suspension and Termination
Barters Local may suspend or terminate your account at any time, with or without notice, if you violate these Terms, engage in unlawful conduct, or pose a risk to the platform or other users. You may terminate your account at any time through your account settings.
9. Taxes and Legal Compliance
Users are solely responsible for determining, reporting, and complying with any applicable tax, customs, import/export, consumer protection, or other legal obligations arising from barter transactions, including income tax, VAT, GST/HST, or sales taxes. Barters Local does not provide tax or legal advice.
10. Disclaimer of Warranties
The platform is provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, Barters Local disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. Barters Local does not warrant that the platform will be uninterrupted, secure, error-free, or free of harmful components.
11. Assumption of Risk
You acknowledge that bartering involves inherent risks, including but not limited to fraud, misrepresentation, personal injury, property damage, or legal consequences. You voluntarily assume all risks arising from interactions with other users, whether online or in person.
12. Limitation of Liability
To the maximum extent permitted by applicable law, Barters Local and its affiliates, directors, officers, employees, and agents shall not be responsible or liable for any indirect, incidental, consequential, special, exemplary, or punitive damages of any kind, including but not limited to loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or in any way related to: (a) your access to, use of, or inability to use the platform; (b) any user-to-user transaction, interaction, or dispute; (c) the quality, condition, safety, or legality of any item or service listed on the platform; (d) personal injury or property damage resulting from any transaction or meeting arranged through the platform; (e) unauthorized access to or alteration of your content or account; or (f) any other matter relating to the platform or these Terms. Barters Local expressly disclaims all responsibility and liability for any outcome resulting from platform use, even if Barters Local has been advised of the possibility of such damages. In no event shall Barters Local's total aggregate liability exceed the greater of one hundred Canadian dollars (CAD $100) or the amount paid by you to Barters Local, if any, in the twelve (12) months preceding the claim.
13. Voluntary Donations
Barters Local accepts voluntary financial donations from users and supporters who wish to help sustain and grow the platform. By making a donation, you acknowledge and agree to the following:
- All donations are made voluntarily and at your own discretion using the "Donate" option on the platform.
- Donations are non-refundable under any circumstances. No goods or services are exchanged in return for a donation.
- Donations do not constitute a purchase, payment for services, or any form of consideration for a contractual obligation.
- You will receive a donation receipt by email confirming: "This is a voluntary donation. No goods or services were exchanged."
- Barters Local is not a registered charity and donations are not tax-deductible unless explicitly stated and verified by applicable law.
- Barters Local reserves the right to decline or refund any donation at its sole discretion if there is reasonable cause to suspect fraudulent, malicious, or unauthorized activity, including but not limited to chargebacks, stolen payment methods, or abuse of the donation mechanism.
- By completing a donation, you confirm that you have read and agreed to these terms and that you understand the donation is voluntary and non-refundable.
Prior to completing a donation, you will be required to confirm the following acknowledgment:
"I understand this is a voluntary donation and is non-refundable."
14. Indemnification
You agree to indemnify, defend, and hold harmless Barters Local and its affiliates, directors, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of the platform, your transactions, your content, or your violation of these Terms or applicable law.
15. Dispute Resolution Between Users
Disputes arising between users must be resolved directly between the parties involved. Barters Local does not provide mediation, arbitration, or dispute resolution services and has no obligation to intervene.
16. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of Canada, without regard to conflict of law principles. You agree that any legal action or proceeding shall be brought exclusively in the courts of Canada, unless otherwise required by mandatory consumer protection laws in your jurisdiction.
17. International Use
The platform may be accessed globally. You are responsible for ensuring that your use of the platform complies with all laws and regulations applicable in your jurisdiction, including those within Europe, Canada, and the United States.
18. Changes to These Terms
Barters Local may modify these Terms at any time. Updated Terms will be posted on the platform with a revised "Last updated" date. Continued use of the platform constitutes acceptance of the revised Terms.
